Expanding biologics footprint, PiramalPharma takes controlling stake in Yapan Bio

The acquisition gives PiramalPharma a 74% stake in Hyderabad-based CDMO Yapan Bio as demand for complex biologics continues to grow.

PiramalPharma, as per the latest reports, has completed the acquisition of an additional 40.67% stake in Yapan Bio Private Limited, taking its total ownership in the Hyderabad-based company to 74%. The transaction, valued at ₹76 crore, moves Yapan Bio from being an associate company to a subsidiary of PiramalPharma.

The deal completed on Tuesday marks a further expansion of PiramalPharma’s presence in the biologics and contract development and manufacturing organization (CDMO) market. Yapan Bio focuses on process development, characterization, and Phase I and II GMP manufacturing for vaccines and biologics.

From PiramalPharma’s minority investment to controlling ownership.

PiramalPharma first invested in Yapan Bio in 2021, initially acquiring a minority interest. At the time, the investment aimed to add capabilities in large-molecule development and manufacturing, particularly across vaccines, gene therapies, and other biologic products.

The latest transaction substantially changes the relationship between the two companies. With a 74% equity stake, PiramalPharma now has controlling ownership, allowing Yapan Bio’s capabilities to be incorporated more closely into its broader CDMO operations.

Focusing on vaccines and biologic manufacturing.

Yapan Bio’s operations cover specialized areas of biologics manufacturing, including development and scale-up activities and GMP production for clinical-stage programmes. Its capabilities include vaccines and biotherapeutics, areas that require specialized manufacturing infrastructure and regulatory expertise.

The acquisition also comes as pharmaceutical companies increasingly rely on CDMOs to develop and produce complex therapies. For PiramalPharma, bringing Yapan Bio under its control adds another large-molecule capability to its existing portfolio.

Yapan Bio will continue operating within PiramalPharma Solutions, the company’s CDMO business. The company has said the acquisition will strengthen its integrated offering across biologics development and manufacturing. Its 2021 investment in Yapan Bio had already expanded its capabilities in vaccines and biologics.

With Yapan Bio now a subsidiary, the acquisition represents a more significant step in PiramalPharma’s strategy to deepen its position in the global biologics CDMO market, particularly in specialized development and clinical manufacturing.
