The deal closes after months of negotiations, marking a dramatic shift from Unacademy’s peak valuation and highlighting changing dynamics in India’s EdTech sector.

upGrad has reportedly completed its acquisition of Unacademy for just over $200 million, bringing months of negotiations between the two Indian EdTech companies to a close. Unacademy co-founder and chief executive Gaurav Munjal confirmed the completion of the transaction on September 1.

The acquisition gives upGrad a stronger presence in the online test-preparation segment, while Unacademy moves into a new phase under the larger education technology group. The transaction is particularly notable because of the wide gap between the final deal value and Unacademy’s earlier market valuation.

From $3.44 billion to just over $200 million.

Unacademy was valued at around $3.44 billion in 2021, when investor interest in technology and online education companies was at its peak. The company had raised substantial funding during the rapid expansion of India’s EdTech sector.

The latest acquisition price represents a decline of more than 90% from that peak valuation. Munjal himself acknowledged the scale of the change, noting that the company had raised capital at a peak but was ultimately sold for a fraction of that value. The sharp reduction reflects a broader reassessment of valuations across the technology and EdTech sectors following the rapid growth seen during the pandemic.

A different EdTech market.

Unacademy’s acquisition illustrates how dramatically investor expectations have changed in the Indian startup ecosystem. For upGrad, the acquisition expands its footprint in online education and competitive exam preparation. Unacademy has built a significant presence in test preparation, covering areas including civil services, engineering and medical entrance examinations.

The transaction also marks another step toward consolidation in India’s EdTech industry, where companies are increasingly pursuing acquisitions and combinations to strengthen their businesses rather than relying solely on rapid customer and valuation growth. The upGrad-Unacademy transaction is more than a change in ownership. It also reflects the changing economics of India’s startup market.

The deal demonstrates that established education businesses can still attract strategic interest when their technology, customer base and market presence offer long-term value.

The acquisition now places the focus on what comes next: whether combining the two businesses can create a more sustainable education platform in an increasingly competitive Indian EdTech market.
