Ausgold to be acquired by OceanaGold in an A$776 million deal for the Katanning Gold Project

The proposed acquisition would give OceanaGold full ownership of Ausgold and add the Katanning Gold Project in Western Australia to its portfolio, subject to shareholder and regulatory approvals.

Canadian-listed gold producer OceanaGold Corporation has entered into an agreement to acquire 100% of Ausgold Limited, the owner of the Katanning Gold Project in Western Australia. The transaction is structured as a court-approved scheme of arrangement and values Ausgold’s equity at approximately A$776 million, or about US$549 million.

Under the proposed terms, Ausgold shareholders will receive 0.03365 OceanaGold shares for every Ausgold share they hold. The offer implies a value of A$1.36 per Ausgold share. Shareholders may also choose a cash alternative, although the total cash available for the transaction will be capped at A$194 million and could therefore be subject to scaling back.

Katanning Project adds Australian gold asset.

The acquisition centres on the Katanning Gold Project, an advanced open-pit development located in Western Australia. The project is expected to become OceanaGold’s fifth asset if the transaction receives the necessary approvals and is completed.

The deal is intended to expand OceanaGold’s development pipeline while adding another operation in Australia, one of the world’s major mining jurisdictions. Industry attention will likely remain focused on the project’s development timetable, financing requirements, permitting and future production performance.

Shareholder support and ownership.

Ausgold’s board has unanimously recommended that shareholders vote in favour of the transaction. The board members have also indicated that they intend to support the scheme with their own holdings. Dundee Corporation, Ausgold’s major shareholder with approximately 7.7% ownership, has likewise indicated its intention to vote in favour. Following completion, Ausgold shareholders are expected to hold between 6% and 8% of OceanaGold.

The transaction remains subject to customary conditions, including shareholder approval, court approval and other regulatory requirements. Its completion will also depend on the satisfaction of conditions outlined in the scheme implementation deed.

For OceanaGold, the proposed Ausgold acquisition represents a significant expansion of its gold portfolio. However, the eventual value of the deal will depend on the successful completion and development of the Katanning project, alongside broader factors such as gold prices, operating costs, permitting and construction risks.
