Companies continue talks as investors await clarity on completion of proposed transaction.

Diginex Limited, according to the latest reports, continues to work on the proposed acquisition of Resulticks Global Companies Pte. Limited, with the two companies now focused on completing the remaining transaction documentation. In an update issued on Wednesday, Diginex said the parties remain engaged in the final stages of the process.

The company is engaged in the final stage of the market update once the definitive transaction documents have been formally executed. The latest announcement comes after several extensions to the proposed deal’s long-stop date, highlighting that the acquisition has taken longer to complete than initially anticipated.

Diginex and Resulticks announce $70 million funding commitment.

Earlier this month, Diginex and Resulticks agreed to extend the long-stop date from July 31 to August 12 to allow additional time for the remaining execution formalities. At the same time, the parties announced private funding commitments totalling $70 million for the combined business.

The funding is intended to support the transaction and the combined company’s operations once the acquisition is completed. However, securing financing does not, by itself, confirm that the transaction will close.

Acquisition still subject to completion conditions.

Diginex has maintained that the proposed Resulticks acquisition remains subject to the outstanding conditions set out in the Sale and Purchase Agreement. The company has also cautioned that there is no certainty as to when the definitive documentation will be executed, or whether the transaction will ultimately be completed on the previously announced terms or at all.

This distinction is important for investors, as the latest announcement represents an update on the status of negotiations rather than confirmation that the acquisition has closed. The proposed acquisition is part of Diginex’s broader strategy around ESG, sustainability, compliance and data-related services. Resulticks is expected to bring additional capabilities to the combined business, with earlier company disclosures estimating approximately $150 million in annual revenue and between $46 million and $50 million in EBITDA, subject to completion.

For now, however, the immediate focus remains on completing the definitive documentation. Investors will be watching for Diginex’s next market announcement, which should provide greater clarity on whether the proposed acquisition has moved from negotiations to formal completion.

Until that confirmation is issued, the Resulticks acquisition remains a proposed transaction rather than a completed deal.
