Despite expanding its lithium battery portfolio through a strategic acquisition, Dragonfly Energy’s shares were seen declining as investors weighed near-term financial concerns against long-term growth prospects.

In a massive deal that is valued at $4 million, Dragonfly Energy Holdings completed the acquisition of substantially all operating assets of Dakota Lithium. This came as a strategic move to help strengthen its position in the growing lithium battery market. However, the announcement, according to recent reports, has done little to lift investor confidence, with the company’s shares down around 12% following the news.

The transaction includes $1 million in cash and $3 million worth of Dragonfly Energy common stock, issued at $2 per share. The newly issued shares, as reported, will still remain under a contractual lock-up period for a year, limiting immediate market sales.

Broadening presence in specialty battery markets.

Dakota Lithium has built a presence across several specialty battery segments, including marine applications, recreational vehicles, power sports, and golf carts. Through this acquisition, Dragonfly Energy has also gained the Dakota Lithium brand, intellectual property, inventory, and established customer and distributor relationships.

As per the historical financial information, during 2025, Dakota Lithium generated approximately $12 million in net revenue. The company attributed lower sales compared with previous years to inventory shortages and working capital constraints rather than weakening customer demand.

More focus on revenue growth and financial flexibility.

Dragonfly Energy plans to continue operating Dakota Lithium as a separate brand alongside its existing Battle Born Batteries business while integrating operations through its current commercial and fulfilment infrastructure. The company now expects the acquisition to begin contributing to revenue and adjusted EBITDA during the fourth quarter of 2026.

Along with the acquisition, Dragonfly Energy has also secured amendments to its debt agreements. The revised terms reduce minimum cash requirements and allow interest payments to be made in kind for the next two quarters, a move expected to preserve roughly $1 million in near-term liquidity.

Although the acquisition strengthens Dragonfly Energy’s footprint in the lithium battery sector and expands its reach into additional end markets, investors appeared focused on the company’s broader financial position and execution risks. The decline in the stock price suggests the market is waiting for tangible evidence that the acquisition will translate into stronger earnings and improved financial performance before reassessing the company’s growth outlook.
